Terms & Conditions (Business & Commercial Services)

Last Updated: 12th October 2026

These Terms and Conditions apply to all commercial services provided by Liverpool Visuals Limited to corporate clients, businesses, and sole traders ("The Client"). This includes, but is not limited to: corporate events, commercial property media, drone asset mapping, and construction monitoring.

By commissioning our services, you warrant that you are acting in the course of business and not as an individual consumer.

🏠 Are you booking for personal use? If you are booking our services for personal, non-commercial events (such as weddings, family parties, or personal portraits) or buying items from our retail print shop, these business terms do not apply to you. Please view our Consumer Terms Here.

1. Who We Are

Liverpool Visuals Limited is a UK-based provider of professional photography, videography, and CAA-certified aerial drone media.

2. Our Services & Operations

2.1. Scope of Work (SOW)

All commercial deliverables, timelines, site details, and specialized fees will be formally outlined in a written Scope of Work (SOW) or Order Confirmation before work begins.

2.2. Commercial Drone Operations & Safety

All aerial missions are planned and executed strictly in accordance with UK Civil Aviation Authority (CAA) regulations.

  • Operational Control: The remote pilot in command retains absolute final authority regarding the safety of any flight.

  • Disruption: Flight schedules are subject to weather, temporary airspace restrictions, and sudden emergency services overrides. We reserve the absolute right to postpone or cancel flights for legal, safety, or regulatory reasons.

2.3. The Client's Obligations

To ensure a successful and legally compliant shoot, the Client must:

  • Guarantee that all deployment sites are legally accessible and safe for ground and drone crews.

  • Provide all necessary site contacts, security clearances, and local permissions in a timely manner.

  • Notify all on-site personnel, staff, and contractors of the scheduled aerial operations prior to our arrival.

3. Charges, Fees & Payment

3.1. The Creative Retainer

To officially book our team, secure the date in our calendar, and initiate pre-flight planning, we require a 50% non-refundable Creative Fee / Retainer.

3.2. Expenses & Additional Fees

The Client agrees to reimburse Liverpool Visuals for all reasonable, pre-approved travel, accommodation, specialised gear rentals, or specific site-access and landowner permit fees incurred during the project.

3.3. Final Payment Deadlines & File Release

  • The 14-Day Net Term: Full payment of the final invoice (including any pre-approved expenses) must be settled within 14 days of project completion.

  • File Release: To protect our digital assets, no final photographs, videos, or raw data (the "Deliverables") will be released to the Client until the final invoice is paid in full.

3.4. Overdue Balances & Late Payments

As a B2B provider, we enforce strict payment timelines. We reserve the right to charge statutory interest on any overdue accounts at a fixed rate of 8% above the Bank of England base rate, strictly in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, alongside statutory compensation recovery costs.

4. B2B Cancellations & Postponements

4.1. Cancellation by the Client

All cancellations must be submitted formally in writing via email. Because we block out highly specialized crews and equipment exclusively for your commercial booking, the following cancellation fee schedule applies based on notice given:

  • More than 7 days before the shoot - Loss of the 50% non-refundable Creative Fee

  • Within 7 days of the scheduled shoot - A 75% creative fee is due and payable

  • Within 48 hours of the scheduled shoot - 100% of the total service fee is due and payable

  • Postponements: If a shoot must be moved due to sudden client schedule shifts, the non-refundable fee may be transferred to a new date at management's discretion (subject to current calendar availability).

5. Intellectual Property, Licensing & Portfolio Rights

5.1. Copyright & Data Protection

Liverpool Visuals Limited retains full, exclusive copyright and intellectual property rights for all images, video files, and raw or processed telemetry data generated during the execution of the services.

5.2. Your Commercial Usage License

Upon full, cleared payment of all invoices, the Client is granted a Non-Exclusive, Non-Transferable Commercial License to use the final deliverables for the specific promotional or internal business purposes detailed in the original Scope of Work.

  • Note: This license does not grant the right to sell, sub-license, or distribute our raw data or imagery to third-party entities without a separate commercial agreement.

5.3. Marketing License-Back

The Client grants Liverpool Visuals Limited a perpetual, non-exclusive, worldwide, royalty-free license to utilize the final imagery and videos for our own business marketing, online portfolios, proposal packages, and social media channels. We promise never to display any information clearly marked or agreed upon as corporate confidential.

6. Limitation of Liability

THE CLIENT'S ATTENTION IS DIRECTLY DRAWN TO THIS SECTION

6.1. Uncapped Liabilities: Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be legally capped under English law.

6.2. Excluded Losses: Subject to clause 6.1, Liverpool Visuals Limited shall not be liable to the business client for any loss of profit, loss of revenue or sales, loss of anticipated business savings, damage to corporate goodwill, or any indirect or consequential commercial losses.

6.3. Financial Cap: Subject to clause 6.1, our total aggregate liability to the Client for all other losses arising in connection with this agreement shall be strictly capped at the total fee amount paid by the Client for that specific project.

7. Data Protection & UK GDPR

Both parties agree to fully comply with all applicable requirements of the UK Data Protection Legislation (including the UK GDPR and the Data Protection Act 2018). To the extent that we capture or process personal data on behalf of your business (e.g., documenting attendees at a corporate AGM), Liverpool Visuals Limited acts strictly as a Data Processor.

8. Force Majeure & Weather

We are not liable for delayed or uncompleted performance caused by severe events completely outside of our reasonable control. This includes, but is not limited to: severe weather making flight or outdoor shooting impossible, equipment/hardware malfunctions, sudden pilot illness, or sudden airspace closures directed by national government or aviation authorities.

9. Legal Framework

  • Governing Law: These commercial terms are governed entirely by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

  • Updates: We reserve the right to modify these corporate terms. The version live on our portal at the time your Scope of Work is signed remains the active framework for your project.
